Welcome to Nestla! These Terms of Service ("Terms") govern your access to and use of the Nestla platform, website, services, and communications. Please read them carefully. By accessing our website or using any Nestla service, you agree to be legally bound by these Terms.
1. Acceptance of Terms
By accessing or using the Nestla platform ("Nestla," "we," "our," or "us"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use our services.
2. Description of Services
Nestla provides a technology platform that connects property owners with licensed real estate agents, service providers, and support teams to streamline real estate transactions, document coordination, communication, and deal tracking.
Nestla does not act as a licensed real estate broker or agent and does not provide legal, tax, or financial advice.
3. User Eligibility
You may use our services only if you are:
- At least 18 years old
- Capable of entering into a binding contract
- Providing truthful, accurate, and complete information
Use of the platform is prohibited where not permitted by applicable law.
4. User Responsibilities
By using Nestla, you agree to:
- Provide accurate, current, and complete information
- Maintain the confidentiality of any login credentials
- Use the platform only for lawful purposes
- Comply with all applicable local, state, and federal laws
5. Prohibited Conduct
You agree not to:
- Use the platform to engage in fraudulent, abusive, or unlawful activity
- Attempt to access data or systems without authorization
- Transmit spam, viruses, or malicious software
- Interfere with the platform's functionality or operations
- Impersonate any person or entity
6. Text Messages & Voice Calls (A2P Communications)
By providing your phone number and affirmatively opting in, you consent to receive SMS messages and voice calls from Nestla, including:
- Appointment confirmations
- Property and transaction updates
- Reminders and support messages
Message frequency may vary. Message and data rates may apply. Consent is not a condition of purchase.
You may opt out at any time by:
- Replying "STOP" to any message

All communications are logged for compliance and audit purposes. See our Privacy Policy for more information.
7. Fees and Payments
Nestla charges a clearly disclosed, flat coordination fee for certain services. Payment obligations are presented before you commit.
All brokerage commissions are negotiated independently between licensed agents and clients. Nestla is not a party to these agreements.
8. Third-Party Services
Nestla may provide access to third-party service providers (e.g., notaries, agents, escrow officers). We do not control or guarantee the services they provide. You acknowledge and accept that your relationship with third parties is governed by their respective terms and privacy policies.
9. Intellectual Property
All materials, branding, software, designs, trademarks, and content available through the Nestla platform are the property of Nestla or its licensors. You may not:
- Copy, modify, distribute, or reverse-engineer any part of the platform
- Use any trademarks or brand assets without prior written permission
10. Disclaimers
Nestla provides services "as is" and disclaims all warranties, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not warrant that the services will be:
- Error-free or uninterrupted
- Free from harmful components
- Accurate or reliable for decision-making
11. Limitation of Liability
To the fullest extent permitted by law, Nestla and its affiliates shall not be liable for any:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from unauthorized access to your data
Our total liability under these Terms will not exceed $100 USD or the amount paid by you to Nestla in the past 12 months, whichever is greater.
12. Termination
We reserve the right to:
- Suspend or terminate your access to Nestla for any reason, including violation of these Terms
- Delete or restrict access to any content associated with your use
You may terminate your use of the services at any time by ceasing all use and requesting deletion of your data.
13. Changes to Terms
We may update these Terms periodically. If material changes are made, we will:
- Notify you via email or prominent notice on our website
- Update the "Effective Date" at the top of this page
Continued use of the platform after changes constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and interpreted under the laws of the State of California, without regard to conflict of law principles.
Any disputes will be resolved in Orange County, California, in accordance with applicable arbitration or court procedures.
